Why is Linus Cheung still an HKR independent director?

The curtains on the latest ATV management soap opera are finally down. Heads have been chopped. Names have been called. But one question remains unanswered.

Why is the station's newly appointed executive chairman, Linus Cheung, still sitting on the board of Hong Kong Resort as an independent director?

After the latest episode, Mr Cheung's closeness to the Cha family, in particular the eldest son, Payson Cha, who controls both the station and the property firm, is beyond doubt.

The Chas ventured into the underdog station last April. Seeing their HK$780 million cash injection vanish in a year, they've brought in the ex-Hong Kong Telecom head in a desperate attempt to plug the black hole. Sources said they want someone trustworthy to steer the boat before pumping in another HK$300 million.

Mr Cheung has lost his independence on HKR's board because he is now a paid employee of ATV. His new position as an executive chairman is a clear contradiction to the definition of independence stated in the listing rules.

Rule 3.13(7) stipulates that the independence of a director will be questioned if he or she is an executive or director of the listed issuer, of its holding company, or any of their respective subsidiaries.
