SFC is to consider new rules

The Securities and Futures Commission will begin a review of Hong Kong's Takeovers and Mergers Code next week, the commission's deputy chairman Laura Cha May-lun said yesterday.

She said a paper would be issued next week containing proposed changes to the code - the first time the commission has looked into altering the it since 1992.

The code sets out requirements for public company takeovers, mergers and privatisation proposals to ensure shareholders are treated fairly.

It is believed the 35 per cent trigger point at which shareholders need to make a general offer will be discussed as part of the review.

Meanwhile, Ms Cha said although collapsed brokerage CA Pacific was the subject of a judicial investigation, clients of the brokers may not have to wait until the case has been concluded before receiving compensation.

'The timetable for CA Pacific's clients to get their compensation should not be affected by the court case,' she said.
